1. Acceptance & Scope
These Terms of Use (the “Terms”) form a legally binding agreement between you (the “Buyer”, “you”, or “your”) and Synapse Research Lab LLC, a Wyoming limited liability company (“Synapse”, “we”, “us”, or “our”), with respect to the website located at thethesynapselab.com and any subdomains, mobile interfaces, APIs, emails, and digital communications operated by us (collectively, the “Site”), and the purchase of any goods, documentation, samples, kits, reference materials, or related items offered by Synapse (collectively, the “Products”).
By accessing the Site, creating an account, placing an order, or clicking any acceptance mechanism (including any “I agree”, “I confirm”, or checkout-completion button) you agree to be bound by these Terms, the Research Use Acknowledgement, the Privacy Policy, and any additional terms expressly incorporated by reference. If you do not agree, you must not use the Site and must not purchase any Product.
2. Definitions
- “Product” means any compound, peptide, chemical, reagent, consumable, accessory, document, or service listed, sold, or supplied by Synapse, whether sold individually or as part of a research stack, bundle, or curated set.
- “Research Use Only” or “RUO” means use exclusively for in vitro laboratory research, analytical, chemical, biochemical, and investigational purposes by qualified scientific personnel within a controlled research environment, and never for human or animal ingestion, administration, application, in vivo use, or any diagnostic, therapeutic, prophylactic, cosmetic, or medical purpose.
- “Qualified Researcher” means an individual who is (a) at least the Minimum Age set forth in Section 3; (b) affiliated with, employed by, or otherwise authorized to procure research materials on behalf of a bona fide research, analytical, academic, or industrial institution, laboratory, or enterprise; and (c) qualified by training and experience to handle, store, and dispose of research chemicals safely and lawfully.
- “Order” means any request submitted via the Site, email, or other channel to purchase one or more Products.
- “Acknowledgement” means the Research Use Acknowledgement that you must accept as a condition of every purchase.
3. Eligibility & Account
3.1 Minimum Age
You represent and warrant that you are at least 18 years of age, or, if you are accessing the Site or placing an Order from within the United States or any U.S. territory, at least 21 years of age (the “Minimum Age”). Synapse may at its sole discretion require additional age verification. Synapse does not knowingly sell Products to minors and reserves the right to cancel any Order placed by an underage purchaser without notice or refund.
3.2 Researcher Representation
You represent and warrant that you are a Qualified Researcher and that all Products purchased will be used exclusively for Research Use Only within a legitimate research context. You further represent that the information you provide in connection with any Order, account registration, or correspondence is true, accurate, current, and complete in all material respects.
3.3 Accounts
You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must promptly notify us of any suspected unauthorized access. Synapse may suspend or terminate any account that we reasonably believe has been used in breach of these Terms or applicable law.
3.4 Acceptance at Each Transaction
Acceptance of these Terms and of the Acknowledgement is required at the time of account creation and again at each checkout. Continued use of the Site after any change to these Terms or to the Acknowledgement constitutes ongoing acceptance.
4. Research Use Only — Core Restriction
Without limiting the generality of the foregoing, Products are not intended, sold, marketed, labeled, or supplied for, and must not be used for any of the following:
- ingestion, injection, infusion, inhalation, nasal administration, ocular administration, topical or transdermal application, oral or buccal dosing, or any other route of administration into or onto the human or animal body;
- treatment, prevention, mitigation, diagnosis, monitoring, or cure of any disease, syndrome, injury, deficiency, physiological condition, or aesthetic concern;
- weight management, body composition modification, muscle development, athletic performance enhancement, anti-aging, rejuvenation, cosmetic improvement, sexual function modification, mood alteration, or any other use whose purpose, in whole or in part, is to influence the structure or function of the human or animal body;
- compounding into preparations intended for administration; supply to compounding pharmacies, prescribers, clinicians, veterinarians, aestheticians, or other persons for downstream administration; or re-labeling, re-packaging, or re-sale as anything other than a research chemical clearly identified as Research Use Only;
- use in food, feed, beverage, supplement, cosmetic, or personal-care formulations intended for sale or distribution to consumers; or
- any clinical investigation, clinical trial, or comparable investigational use involving human or animal subjects.
5. Express Representations & Warranties of Buyer
By placing an Order, you expressly represent, warrant, and covenant that:
- you have read, understood, and accepted these Terms, the Acknowledgement, and the Privacy Policy in full;
- you are a Qualified Researcher purchasing the Products solely for Research Use Only and not for resale to consumers, for human or animal administration, or for any prohibited purpose listed in Section 4;
- you have the legal capacity, authority, training, equipment, and facilities to receive, store, handle, use, and dispose of the Products safely and in compliance with all applicable laws, regulations, codes, and institutional policies;
- you will at all times keep the Products in their original sealed packaging and labeling until use; will not alter, remove, obscure, or replace any label, lot number, or hazard statement; and will not transfer the Products to any person who has not also accepted these Terms or who is not similarly qualified;
- you will not represent, market, advertise, label, repack, or supply any Product as a drug, supplement, cosmetic, food, food additive, medical device, or as fit for human or animal use; and
- the shipping address you provide is suitable for receipt of research chemicals in your jurisdiction and you accept all risk associated with that address, including risk of customs inspection, seizure, or non-delivery.
6. Assumption of Risk & Waiver
You expressly acknowledge that research chemicals carry inherent physical, chemical, biological, and toxicological hazards, including risks that may not be fully characterized in the available scientific literature, and that the safety profile of many of the Products has not been established for any in vivo, clinical, consumer, or therapeutic use.
You voluntarily and knowingly assume all risk associated with the purchase, receipt, possession, storage, handling, transport, use, and disposal of the Products. You agree that any decision to use a Product in any manner outside of controlled in vitro laboratory research is made solely on your own independent professional judgment, at your sole risk, and without any reliance on any statement, representation, claim, dosing guideline, protocol, image, video, blog post, marketing material, social media content, customer review, or other information made available by or attributable to Synapse, its affiliates, employees, contractors, or agents, all of which are provided for general scientific context only and do not constitute medical, clinical, pharmaceutical, veterinary, cosmetic, dietary, or any other professional advice.
7. Misuse — Voidance & Forfeiture
Any use of a Product outside the scope of Research Use Only, including any human or animal administration, any use for a therapeutic, cosmetic, performance-enhancement, or comparable purpose, or any breach of Sections 4 or 5, constitutes a material breach of these Terms and a misuse of the Product (“Misuse”).
Upon any Misuse, all warranties (express, implied, or statutory, to the maximum extent permitted by law), all rights of return, replacement, refund, exchange, credit, support, or remedy of any kind are immediately and irrevocably voided and forfeited, and Synapse shall bear no liability whatsoever for any injury, loss, damage, cost, fee, regulatory action, claim, or proceeding of any kind arising out of or relating to such Misuse, regardless of legal theory.
8. Regulatory Compliance & Geographic Restrictions
Synapse ships from facilities operated by it or its logistics partners and does not impose a categorical list of excluded jurisdictions. You alone are responsible for determining, prior to placing an Order:
- whether the import, possession, storage, use, or onward transfer of a Product is lawful in your jurisdiction and in any jurisdiction through which the Product will transit;
- whether any licence, registration, permit, customs declaration, import authorisation, or institutional approval is required to receive or use the Product;
- whether the Product is subject to controls under any drug, medicines, controlled-substances, narcotics, anti-doping, veterinary, agricultural, environmental, occupational, or export-control regime; and
- all applicable taxes, duties, levies, brokerage charges, and handling fees imposed at import.
You agree that Synapse makes no representation or warranty as to the legality of any Product in your jurisdiction and accepts no responsibility for customs inspections, detentions, seizures, forfeitures, fines, return-to-sender events, or non-delivery resulting from your jurisdiction's rules or from inaccuracies in the information you provide. You agree to fully cooperate with any applicable regulator and to indemnify Synapse for any costs incurred by us as a result of any regulatory action triggered by your conduct.
9. Product Information & Documentation
Certificates of Analysis (“COAs”), specifications, peer-reviewed citations, mechanism summaries, and other technical information are made available solely as reference material to support legitimate research workflows. Such materials:
- are provided on an “as-is” basis without any warranty of completeness, accuracy, currency, or fitness for a particular purpose;
- summarize third-party scientific literature for context and are not claims, representations, or recommendations by Synapse as to the properties or effects of any Product when used outside the in vitro research context;
- may be updated, corrected, or withdrawn at any time without notice; and
- do not constitute medical, veterinary, pharmaceutical, cosmetic, dietary, regulatory, or legal advice and must not be relied upon as such.
10. Orders, Pricing & Payment
10.1 Order Process
Submission of an Order is an offer by you to purchase the listed Products on these Terms. No Order is binding on Synapse until we confirm acceptance in writing or by dispatch. Synapse may, in its sole discretion, refuse, limit, cancel, or revoke any Order, in whole or in part, at any time and for any lawful reason, including suspected fraud, suspected misuse, jurisdictional risk, sanctions or export-control concerns, suspected resale to consumers, pricing or listing errors, supply-chain limitations, or failure to verify your identity or Researcher status.
10.2 Prices, Currencies & Taxes
Prices are listed in the currency specified on the Site and may be changed at any time without notice. Prices exclude all taxes, duties, brokerage charges, and shipping fees unless expressly stated. Buyer is responsible for all import duties, tariffs, value-added tax (VAT), goods and services tax (GST), customs brokerage fees, and any other levies imposed by any authority in connection with the Order.
10.3 Payment
Payments are processed by third-party payment service providers including Nifti Pay and any other processor we may engage. You authorise the applicable processor to charge the payment method you provide for the full Order amount (including taxes and shipping). You represent that the payment method is yours or that you are authorised to use it. Chargebacks, reversed authorisations, or unsuccessful debits constitute a breach of these Terms and Synapse may, in addition to all other remedies, suspend your account, recover the disputed amount with collection costs and reasonable attorneys' fees, and ban future purchases.
10.4 Errors & Pricing Mistakes
Synapse reserves the right to correct typographical, pricing, image, description, or stock errors at any time, including after Order confirmation, and to cancel any Order placed at an erroneous price. Where an Order is cancelled for such reason, the only remedy is a refund of any amount paid.
11. Shipping, Risk of Loss & Customs
11.1 Shipping Methods & Cold Chain
Synapse and its logistics partners use temperature-aware packaging and validated handling procedures suitable for research-grade compounds. Estimated delivery windows are indicative only and not a guaranteed delivery date.
11.2 Risk & Title
Title and risk of loss to Products pass to Buyer on tender of the Products to the carrier at our dispatch facility (FCA Wyoming / carrier's collection point, Incoterms 2020), regardless of the freight terms shown on the Order confirmation. Buyer assumes all risk of damage, loss, delay, customs detention, deterioration, or non-delivery from that point onwards, subject to Section 14.
11.3 Customs, Duties & Returns at Border
Where a shipment is detained, seized, refused, or returned by any customs, postal, or regulatory authority, Synapse is not obligated to reship and is not obligated to refund. At our discretion, we may offer a partial credit toward a future Order. Any duties, storage fees, return-shipment fees, destruction fees, brokerage charges, or comparable costs are Buyer's responsibility.
11.4 Address Accuracy
Buyer is responsible for providing a complete, accurate, and lawful shipping address and recipient name and for ensuring that someone is available to receive the shipment. Failed deliveries, reshipments, re-routing requests, and address-correction surcharges are chargeable to Buyer.
12. No Returns; Limited Replacement
Because the Products are sealed research chemicals supplied with cold-chain handling and because their integrity cannot be verified after the seal is broken or after they leave our temperature-controlled custody, all sales are final and Synapse does not accept returns or exchanges except as expressly set out below.
12.1 Damage in Transit / Wrong Item
If a Product arrives visibly damaged, with a broken cold-chain indicator, or is materially different from the Product ordered, you must notify us at support@thethesynapselab.com within seven (7) calendar days of delivery, attaching photographs of the outer packaging, inner packaging, the Product itself, the shipping label, and any cold-chain indicator. Where Synapse, acting reasonably, validates the claim, the sole remedy at our election is (i) a replacement of the same Product, subject to availability, or (ii) a credit toward a future Order in the amount paid for the affected Product. Cash refunds are not provided except where required by mandatory law (see Section 28).
12.2 No Buyer's Remorse
No return, refund, exchange, or credit is available for change of mind, change of research direction, change of project funding, unsealing of the Product, loss of cold-chain custody following delivery, or unsuccessful experimental outcomes.
13. Waiver of EU Right of Withdrawal
For Buyers located in the European Economic Area or the United Kingdom, you expressly acknowledge and agree that the Products constitute sealed goods which are not suitable for return for reasons of health protection or hygiene and have been unsealed after delivery, and/or goods which can deteriorate or expire rapidly and whose price is dependent on fluctuations in the chemicals market not controllable by Synapse, and that accordingly the right of withdrawal provided for under Directive 2011/83/EU on consumer rights (and any national transposition thereof, including in the United Kingdom under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013) is not available in respect of any Order, pursuant to Article 16(e), Article 16(d) and Article 16(b) of that Directive and the corresponding national exceptions. In addition, you confirm that you are not purchasing as a consumer within the meaning of those rules but as a Qualified Researcher acting in a professional research capacity.
14. Limited Warranty
Synapse warrants that, at the time of dispatch from our facility and when stored under the conditions specified on the relevant label or COA, each Product (i) conforms to the specifications and identity listed on its Certificate of Analysis for the applicable batch, and (ii) is supplied in a sealed condition consistent with our established quality-control procedures. This warranty extends only to the original Buyer of record, is non-transferable, and is conditional upon the timely-claim procedure of Section 12.1. It expires upon the earlier of (a) the expiry date listed on the label or COA, or (b) seven (7) calendar days after delivery.
15. Disclaimer of All Other Warranties
16. Limitation of Liability
To the maximum extent permitted by applicable law:
- No indirect damages. In no event shall Synapse, its affiliates, members, managers, officers, employees, contractors, agents, licensors, or suppliers be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages of any kind, including without limitation lost profits, lost revenues, lost data, lost goodwill, lost savings, lost opportunities, business interruption, procurement of substitute goods or services, personal injury, illness, death, emotional distress, pain and suffering, regulatory penalties, criminal defence costs, or third-party claims, in each case howsoever caused, whether in contract, tort (including negligence), strict liability, statute, or otherwise, and even if Synapse has been advised of the possibility of such damages.
- Aggregate cap. Synapse's aggregate cumulative liability to you for any and all claims arising out of or relating to these Terms, the Site, the Acknowledgement, the Products, or their use, shall not exceed the greater of (i) the total amount actually paid by you to Synapse for the specific Product giving rise to the claim in the six (6) months preceding the event giving rise to liability, or (ii) one hundred U.S. dollars (US$100).
- Foundational allocation. You acknowledge that the limitations in this Section 16, together with the disclaimers in Section 15 and the indemnity in Section 17, are a fundamental basis of the bargain between the parties, reflect a fair allocation of risk in light of the price paid for the Products, and would not be provided absent these limitations. The limitations apply notwithstanding the failure of any essential purpose of any limited remedy.
- Carve-outs. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable mandatory law, including liability for fraud or fraudulent misrepresentation by Synapse, for death or personal injury caused by Synapse's proven gross negligence where such liability cannot be excluded, or under the U.K. Consumer Rights Act 2015 to the extent it mandatorily applies. In jurisdictions that do not allow the exclusion or limitation of certain damages, our liability shall be limited to the greatest extent permitted by that jurisdiction.
17. Indemnification
You agree to defend, indemnify, and hold harmless Synapse and its affiliates, members, managers, officers, employees, contractors, agents, licensors, and suppliers (the “Synapse Indemnitees”) from and against any and all claims, demands, actions, suits, investigations, regulatory proceedings, judgments, awards, settlements, fines, penalties, sanctions, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees and expert fees) of every kind and nature, whether known or unknown, suspected or unsuspected, that arise out of or relate to:
- your breach of these Terms, the Acknowledgement, or any representation or warranty in Section 5;
- any Misuse of any Product, including any human or animal administration;
- any use or onward supply of any Product to any third party, including any compounding, re-labeling, re-sale, or formulation;
- any violation by you of any applicable law, regulation, code, or institutional policy in any jurisdiction;
- any inaccurate information you supply, including any false Researcher Representation or shipping information;
- any personal injury, illness, death, property damage, or economic loss claimed by you or by any third party relating to any Product; and
- any regulatory inquiry, action, or enforcement triggered by your conduct, including customs detentions, seizures, and forfeitures.
Synapse may, at its option, assume the exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with our defence. You shall not settle any such matter without our prior written consent.
18. Intellectual Property
The Site and all content on it, including without limitation text, graphics, photographs, illustrations, logos, marks, audio, video, designs, layout, code, and the selection and arrangement of any of the foregoing (the “Synapse Content”), are owned by or licensed to Synapse and are protected by U.S. and international copyright, trademark, trade-dress, and other intellectual-property laws. “Synapse Lab”, the Synapse S monogram, and related brand elements are trademarks of Synapse Research Lab LLC. You are granted a limited, revocable, non-exclusive, non-transferable licence to access the Site and view the Synapse Content for the sole purpose of evaluating and purchasing Products for Research Use Only. Any other use, including framing, scraping, indexing for AI training, redistribution, reverse engineering of the Site, or use of any Synapse mark in connection with any goods or services not supplied by Synapse, is strictly prohibited without our prior written consent. Any feedback you provide to Synapse is provided on a non-confidential basis and may be used by Synapse for any purpose without obligation to you.
19. Prohibited Conduct
You agree not to:
- use the Site or any Product in violation of these Terms or applicable law;
- re-sell, distribute, broker, compound, re-label, re-pack, or supply any Product to consumers, patients, clinicians, veterinarians, athletes, or any person for human or animal administration;
- misrepresent any Product as approved, registered, prescription, supplement, food, cosmetic, medical device, or otherwise fit for human or animal use;
- interfere with, attack, probe, scan, or attempt to gain unauthorised access to the Site, our systems, or other users' data;
- upload viruses, malware, automated scrapers, AI agents, or any technology that imposes a disproportionate load on the Site;
- use the Site to facilitate or further any illegal activity, including controlled-substance offences, doping, fraud, or tax evasion;
- impersonate any person or misrepresent your affiliation with any organisation; or
- circumvent any technical or contractual access control, including geographic, account, or rate-limit controls.
20. Account Suspension & Termination
Synapse may, with or without cause and with or without notice, suspend, restrict, or terminate your account, cancel pending Orders, decline future Orders, and remove any content you have submitted, including upon any suspected breach of these Terms, any suspected Misuse, any chargeback or payment dispute, or any sanctioned-party or watch-list match. Sections that by their nature should survive termination (including Sections 4 through 9, 13 through 17, 19, 22, and 26 through 30) shall survive.
21. Communications & Marketing Consent
By creating an account or placing an Order you agree that Synapse may send you transactional communications related to your account and Orders (e.g. confirmations, dispatch updates, security alerts). Marketing communications are sent only with your consent, which you may withdraw at any time by following the unsubscribe instructions in any marketing message or by contacting privacy@thethesynapselab.com.
22. Privacy
Our processing of your personal data is described in our Privacy Policy, which forms part of these Terms. Please review it carefully.
23. Third-Party Services & Links
The Site may include integrations with, links to, or content supplied by third parties, including payment processors, analytics providers, couriers, and external publications. We do not control and are not responsible for the content, practices, availability, or terms of any third-party service. Your dealings with any third party are solely between you and that third party.
24. Force Majeure
Synapse shall not be liable for any delay, suspension, or failure to perform any obligation under these Terms where such delay, suspension, or failure arises from causes beyond our reasonable control, including acts of God, natural disasters, public-health emergencies, epidemics, pandemics, quarantine, war, terrorism, sanctions, civil unrest, embargo, governmental action, regulatory change, fire, flood, accident, strike or other labour disturbance, denial-of-service attacks, supply-chain failures, carrier failure, courier disruption, customs interventions, or shortages of materials, energy, or transportation.
25. Modifications to These Terms
Synapse may amend these Terms from time to time. The current version is always accessible at thethesynapselab.com/legal/terms. We will indicate the “Last Updated” date at the top of the page. Material changes will be communicated by reasonable means (such as a banner on the Site or a notice to your account email). Your continued use of the Site or placement of any Order after the effective date of an amendment constitutes acceptance of the amended Terms. If you do not agree to an amendment, your sole remedy is to stop using the Site and not place further Orders.
26. Governing Law
These Terms, your access to and use of the Site, the Acknowledgement, and all Orders are governed by, and shall be construed in accordance with, the substantive laws of the State of Wyoming, United States of America, without regard to its conflict-of-laws principles, and excluding the United Nations Convention on Contracts for the International Sale of Goods. Where mandatory consumer-protection rules of your country of habitual residence apply notwithstanding this choice of law, those mandatory rules will apply only to the extent that they cannot be derogated from by agreement.
27. Binding Arbitration; Class Action Waiver
27.1 Informal Resolution
Before commencing any formal proceeding, the parties shall attempt in good faith to resolve any dispute, claim, or controversy arising out of or relating to these Terms or any Order (a “Dispute”) through informal negotiation, commencing with written notice to legal@thethesynapselab.com describing the Dispute and the relief sought. If the Dispute is not resolved within thirty (30) days of such notice, either party may proceed under Section 27.2.
27.2 Binding Arbitration
Any Dispute that cannot be resolved informally shall be finally resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (or, where the Disputing party is a business, under its Commercial Arbitration Rules), as amended from time to time. The arbitration shall be conducted by a single arbitrator. The seat of arbitration shall be Cheyenne, Wyoming, and the language of arbitration shall be English. Where the amount in controversy does not exceed the AAA threshold for desk arbitration, the arbitration shall be conducted on the documents alone or by telephonic/video hearing at the arbitrator's discretion. Judgment on the award may be entered in any court of competent jurisdiction.
27.3 Class Action Waiver
You and Synapse each agree that any Dispute will be brought in an individual capacity only and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one party's claims and may not preside over any form of representative or class proceeding. If this class-action waiver is found to be unenforceable with respect to any claim, then that claim shall be severed from the arbitration and heard in the courts identified in Section 27.5, while all other claims remain in arbitration.
27.4 Jury Waiver
To the maximum extent permitted by applicable law, each party waives any right it may have to a trial by jury in respect of any Dispute.
27.5 Exceptions; Equitable Relief
Notwithstanding the foregoing, either party may bring an individual action in small-claims court for Disputes within the court's jurisdiction, and Synapse may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property, confidential information, or to enforce Sections 4, 5, 7, 18, or 19.
27.6 30-Day Opt-Out
You may opt out of the arbitration agreement in this Section 27 by sending written notice of your decision to opt out to legal@thethesynapselab.com within thirty (30) days of your first acceptance of these Terms. Your notice must include your full name, account email, and a clear statement that you wish to opt out. Opting out will not affect any other provision of these Terms.
28. Jurisdiction-Specific Provisions
28.1 United States
For Buyers in the United States: (i) the Federal Arbitration Act (9 U.S.C. §§ 1 et seq.) governs the interpretation and enforcement of Section 27; (ii) you waive any right under California Civil Code §1542 or similar law in any other state to preserve unknown claims; and (iii) you acknowledge that the Products have not been evaluated by the FDA and that no statement on the Site is intended to diagnose, treat, cure, or prevent any disease.
28.2 United Kingdom
For Buyers in the United Kingdom: nothing in these Terms affects any non-excludable statutory rights you may have, including under the Consumer Rights Act 2015 to the extent it mandatorily applies. You confirm that you are not purchasing as a consumer within the meaning of those rules but as a Qualified Researcher acting in a professional research capacity (see Section 13). The Products are not medicines for the purposes of the Human Medicines Regulations 2012 and are not sold or supplied for medicinal use. Nothing in these Terms excludes any liability that cannot be excluded under applicable U.K. law.
28.3 European Economic Area
For Buyers in the EEA: nothing in these Terms affects any rights you may have under applicable mandatory consumer-protection law where such law applies. You confirm that you are acting as a Qualified Researcher in a professional research capacity (see Section 13). Where the right to alternative dispute resolution applies, the European Commission Online Dispute Resolution platform is available at ec.europa.eu/consumers/odr. We do not, however, commit to using any specific ADR provider.
28.4 Australia & Canada
Where applicable Australian Consumer Law or Canadian provincial consumer-protection law mandatorily applies, our liability for a failure to comply with a non-excludable guarantee is limited (where permitted) to the cost of supplying the Product again or refunding the price paid, at our election.
28.5 Sanctions & Export Controls
You represent that you, your beneficial owners, and your shipping recipient are not (a) located in, ordinarily resident in, or organised under the laws of any country or territory subject to comprehensive U.S., U.K., or EU sanctions; (b) listed on any applicable sanctions, restricted-party, or denied-party list; or (c) owned or controlled by any such person. You agree to comply with all applicable export-control laws, including the U.S. Export Administration Regulations, U.K. Strategic Export Controls, and the EU Dual-Use Regulation.
29. Severability; Entire Agreement; Notices
29.1 Severability
If any provision of these Terms is held invalid, unenforceable, or void, that provision shall be modified to the minimum extent necessary to render it valid and enforceable, or, if no such modification is possible, severed, and the remaining provisions shall remain in full force and effect.
29.2 No Waiver
Failure by Synapse to enforce any right or provision shall not be deemed a waiver of such right or provision.
29.3 Assignment
You may not assign or transfer these Terms or any rights hereunder without our prior written consent. Synapse may assign these Terms, in whole or in part, to any affiliate or in connection with any merger, acquisition, restructuring, or sale of assets.
29.4 Entire Agreement
These Terms, the Acknowledgement, the Privacy Policy, any policies expressly incorporated by reference, and any Order confirmation constitute the entire agreement between you and Synapse and supersede all prior or contemporaneous proposals, communications, representations, and agreements relating to their subject matter. Any pre-printed terms on Buyer purchase orders, vendor portals, or comparable instruments are expressly rejected and shall have no effect.
29.5 Notices
Notices to Synapse must be sent to legal@thethesynapselab.com with a copy by post to: Synapse Research Lab LLC, 1309 Coffeen Avenue STE 19953, Sheridan, Wyoming 82801, United States of America. Notices to you will be sent to the email or postal address on your account and are deemed received on the day of dispatch (email) or three (3) business days after posting.
29.6 Independent Contractors; No Third-Party Beneficiaries
Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between the parties. Except for the Synapse Indemnitees, no person other than the parties has any right to enforce these Terms.
29.7 Language
The authoritative version of these Terms is the English version. Any translation is provided for convenience only and shall not control in the event of any inconsistency.
